The rules of the road for using Modern Management. Please read them carefully โ they're a binding agreement between you and us.
By accessing or using the Modern Management platform ("Service"), including our website, web application, APIs, and any related services provided by Modern Management Inc., a Delaware corporation (in formation) ("we," "us," or "Modern Management"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms").
If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.
You must be at least 18 years of age, or the age of majority in your jurisdiction if higher, to use the Service. By using the Service, you represent and warrant that you meet this requirement.
Modern Management is a software-as-a-service platform that helps property managers, landlords, and real estate operators manage their properties. The Service includes, but is not limited to, features for:
The Service is provided on an "as is" and "as available" basis. We may add, modify, or remove features at any time without prior notice, though we will make reasonable efforts to communicate material changes.
To use most features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information, and to keep that information up to date.
You are responsible for safeguarding your username, password, and any other credentials used to access the Service. You agree not to share your credentials with any third party. You must notify us immediately at security@modernmanagementapp.com of any unauthorized use of your account or any other breach of security.
We are not liable for any loss or damage arising from your failure to protect your account credentials.
We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent or illegal activity, or poses a risk to the Service or other users.
You agree not to use the Service to:
You are solely responsible for all activity that occurs under your account, including all content you upload, all messages you send, and all actions taken by AI features at your direction.
AI may produce errors, inaccuracies, or inappropriate content. Users are solely responsible for reviewing all AI-generated outputs, including drafted messages, suggested tasks, and reports, before sending or acting on them. Modern Management is not liable for actions taken based on unreviewed AI output.
The Service uses third-party large language models (currently Anthropic's Claude) to generate text, draft communications, suggest actions, and produce reports. These AI systems are probabilistic and may produce output that is factually incorrect, biased, legally problematic, or inconsistent with your intent.
The Service may be used to draft communications to residents, applicants, and tenants, to suggest tasks related to tenant interactions, and to store policies in a knowledge base. You acknowledge that:
Modern Management is not liable for fair housing violations arising from communications, decisions, or content generated or suggested by the Service. Users are the final decision-makers and controllers of all output.
Many jurisdictions impose strict statutory requirements on notices related to tenancy โ including but not limited to notices to pay or quit, notices to cure, notices of non-renewal, and any documents filed or served as part of an eviction proceeding. These requirements vary significantly by state, city, and county.
You agree that:
Modern Management is not liable for damages, claims, or losses arising from legally deficient notices generated or suggested by the Service.
The Service is not designed or authorized for use as a tenant screening, background check, or applicant selection tool. Federal and state laws โ including the Fair Credit Reporting Act (FCRA), state tenant screening laws, and local source-of-income protections โ impose specific requirements on the collection, use, and disclosure of applicant information. You agree not to use AI-generated suggestions as the basis for accepting or rejecting applicants.

We provide tooling to review AI-drafted messages before they are sent (e.g., draft previews, confirmation prompts). You agree to use these review mechanisms as a normal part of your workflow.
The Service is offered on monthly and annual paid subscription tiers. Current pricing is available on our Pricing page. Fees are billed in advance on a recurring basis (monthly or annually, depending on your plan) via our payment processor, Stripe.
Fees are exclusive of all applicable taxes, levies, or duties. You are responsible for paying all such taxes, excluding only taxes based on our net income.
We may change our fees at any time. We will provide at least 30 days' advance notice of any fee increase applicable to your subscription. Continued use of the Service after the effective date of the change constitutes acceptance of the new fees.
If a payment fails, we may suspend or downgrade your account after a reasonable grace period. You remain responsible for any amounts owed.
You may cancel your paid subscription at any time from your account settings or by contacting support@modernmanagementapp.com. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until that time.
Refund policy: All fees are non-refundable. You may cancel your subscription at any time through your account settings or by contacting support@modernmanagementapp.com. Upon cancellation, you will retain access to paid features through the end of your current billing period, after which your account will be downgraded to the free tier. We do not offer pro-rated refunds, partial refunds, or satisfaction guarantees. This no-refund policy applies regardless of whether features are used. Fees already paid are non-refundable except where required by applicable law.
Upon cancellation, you are responsible for exporting any data you wish to retain before the end of your billing period. See our Privacy Policy for details on data retention after account closure.
The Service, including all software, text, graphics, logos, trademarks, designs, and underlying technology, is owned by Modern Management Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited license to use it in accordance with these Terms.
You retain all ownership rights to the content you upload to, create in, or transmit through the Service ("Your Content"), including resident records, messages, documents, knowledge base entries, and any other data you supply.
You grant Modern Management a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Your Content solely as necessary to provide, maintain, and improve the Service on your behalf. This license terminates when Your Content is deleted or your account is closed, except as required for backups, legal compliance, or as otherwise described in our Privacy Policy.
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Modern Management Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Before filing any formal claim, you agree to first contact us at legal@modernmanagementapp.com and attempt in good faith to resolve the dispute informally for at least 30 days.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, in the English language. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
You and Modern Management each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Some jurisdictions do not allow the waiver of class action rights. In such jurisdictions, this class action waiver will be limited to the maximum extent permitted by applicable law, and the remainder of these Terms will remain in full effect.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
We may update these Terms from time to time. When we make material changes, we will notify you by email (if you have provided an email address) or by posting a notice in the Service at least 14 days before the changes take effect. The "Last updated" date at the top of this page will always reflect the latest version.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, labor disputes, failures of third-party infrastructure (including but not limited to hosting providers, telecommunications carriers, and payment processors), internet outages, or failures of artificial intelligence services. Upon the occurrence of such an event, the affected party shall notify the other party promptly and shall use commercially reasonable efforts to resume performance.
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms in whole or in part to any successor in interest (including in connection with a merger, acquisition, reorganization, or sale of assets) without notice or consent. These Terms will be binding on and inure to the benefit of the parties and their permitted successors and assigns.
Any notices required or permitted under these Terms must be in writing. Notices to you will be sent to the email address associated with your account or posted within the Service. Notices to us must be sent to legal@modernmanagementapp.com, with a copy to our mailing address once established. Notices are deemed received upon delivery, in the case of email, or upon receipt, in the case of physical mail.
These Terms, together with our Privacy Policy, Security page, SMS Consent page, and any other policies or terms we publish, constitute the entire agreement between you and Modern Management with respect to the Service, and supersede all prior or contemporaneous agreements, communications, or understandings, whether oral or written. No salesperson, account manager, or other representative has authority to modify these Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
These Terms are for the sole benefit of you and Modern Management and are not intended to confer any rights, benefits, or remedies on any third party. No tenant, resident, vendor, or other person whose information you process through the Service has standing to enforce these Terms against Modern Management.
The following sections survive termination or expiration of these Terms: Section 5 (AI-Generated Content), Section 8 (Intellectual Property), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 11 (Dispute Resolution), and Section 16 (General Provisions), along with any other provisions that by their nature are intended to survive.
